Brands cannot pay for, influence, modify, or suppress their scores or reviews. We do not accept payment from any brand in exchange for favorable coverage, higher scores, or preferential ranking placement.

4.3 Opinions and Fair Comment

To the extent that any Content on this Site constitutes opinion, commentary, criticism, or review, such Content is protected expression under the First Amendment to the United States Constitution, applicable state constitutions, and statutory protections for opinion and fair comment, including but not limited to California Civil Code § 47 (litigation privilege), the fair comment doctrine, and applicable anti-SLAPP statutes. IN NO EVENT SHALL JEWEL METER'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE, SERVICES, OR THESE TERMS EXCEED ONE HUNDRED DOLLARS ($100.00 USD).

You and Jewel Meter agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Site or Services (collectively, "Disputes") will be resolved solely by binding, individual arbitration and not in a class, representative, or consolidated action or proceeding. You and Jewel Meter agree that the U.S. Federal Arbitration Act governs the interpretation and enforcement of these Terms.

11.2 Class Action Waiver

YOU AND JEWEL METER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both you and Jewel Meter agree otherwise, the arbitrator may not consolidate or join more than one person's or party's claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding.

11.3 Arbitration Procedures

Arbitration will be conducted by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, as modified by these Terms. The AAA Rules and filing forms are available at www.adr.org. A party who intends to seek arbitration must first send to the other, by certified mail, a written Notice of Dispute. The arbitration shall be held in the county in which you reside or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

11.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

12. Governing Law and Jurisdiction

These Terms and any Disputes arising out of or related to these Terms or the Site shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. To the extent that any lawsuit or court proceeding is permitted hereunder, you and Jewel Meter agree to submit to the exclusive personal jurisdiction of the state and federal courts located in New Castle County, Delaware, for the purpose of litigating any such Disputes.

13. Anti-SLAPP Protection

The Content on this Site constitutes protected speech and petitioning activity within the meaning of applicable anti-SLAPP (Strategic Lawsuit Against Public Participation) statutes, including but not limited to California Code of Civil Procedure § 425.16, Texas Civil Practice and Remedies Code § 27.001, and equivalent statutes in other jurisdictions. Any party that brings a frivolous or meritless legal action against Jewel Meter in connection with our editorial Content, reviews, ratings, or commentary shall be liable for Jewel Meter's attorney's fees, costs, and expenses incurred in defending such action, to the fullest extent permitted by applicable law.

14. Section 230 Protection

To the extent that any Content on this Site includes or references user-generated content from third-party platforms (including but not limited to Reddit, Trustpilot, Google Reviews, Instagram, Facebook, and TikTok), such content is provided by third-party users and does not represent the views, opinions, or endorsement of Jewel Meter. Any attempted assignment, delegation, or transfer in violation of this provision shall be null and void. The unenforceable provision shall be replaced with a valid, enforceable provision that most closely matches the intent of the original provision.

No waiver by Jewel Meter of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Jewel Meter to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

25. Entire Agreement

These Terms, together with the Privacy Policy, constitute the sole and entire agreement between you and Jewel Meter regarding the Site and Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site and Services.

26. Survival

All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation: intellectual property provisions (Section 3), disclaimers (Section 7), limitations of liability (Section 8), indemnification (Section 9), dispute resolution and arbitration (Section 11), governing law (Section 12), anti-SLAPP protection (Section 13), and any other provisions that by their terms or nature are intended to survive.
